1. Acceptance of Terms

By accessing or using the website at https://vxprecisionag.com (the “Site”), or by submitting an inquiry or request for information about our services, you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, please do not use the Site or submit information to us.

These Terms govern your use of the Site and any interactions with VX Precision Ag, LLC (“VX Precision Ag,” “we,” “us,” or “our”) regarding our precision agriculture drone services.

2. Description of Services and Regulatory Status

VX Precision Ag provides information and services related to precision agriculture, including:

  • Distribution of Elevon drone platforms (Z30, Z50, Z80 series) for spraying, spreading, and lifting applications.
  • Custom applicator services (pending final FAA Part 137 approval, expected July 2026).
  • Advanced precision agriculture services including topographic and multispectral mapping for variable rate application (VRA).
  • Carbon consulting support aligned with Verra VM0042 and related methodologies.

Important Regulatory Notice: Our custom applicator (drone spraying/spreading) services are not yet fully operational. We will only provide these services once we have obtained all required FAA Part 137 certification and any applicable state or local licenses. Until that time, we provide only informational content and pre-approval consultations. All operations, once commenced, will comply with applicable FAA, EPA, state pesticide, and local regulations.

3. Use of the Website

You agree to use the Site only for lawful purposes and in accordance with these Terms. You may not:

  • Use the Site in any way that violates applicable laws or regulations.
  • Attempt to gain unauthorized access to any portion of the Site or related systems.
  • Transmit any viruses, malware, or harmful code.
  • Use automated systems (scrapers, bots, etc.) to access the Site without our prior written permission.

We reserve the right to suspend or terminate access to the Site at our sole discretion.

4. Inquiries, Quotes, and Transactions

The Site currently functions primarily as an informational resource and lead-generation platform. When you submit an inquiry or request a quote:

  • The information you provide will be used to respond to your request (see our Privacy Policy for details).
  • Any quote we provide is non-binding and subject to final confirmation, site-specific assessment, regulatory approval (where applicable), and execution of a separate service agreement.
  • Pricing, availability, and service details are subject to change.
  • Future purchases or service agreements will be governed by additional written contracts that supplement these Terms.

5. Intellectual Property

All content on the Site — including text, images, logos, drone specifications, case studies, and design — is owned by VX Precision Ag, LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, or create derivative works from our content without our prior written permission, except for personal, non-commercial use.

6. User Submissions and Data Deliverables

When you submit information through the Site (inquiries, farm details, field boundaries, etc.), you grant us a non-exclusive license to use that information to respond to your request and improve our services.

For Mapping and Data Services (when offered): Ownership and licensing of topographic, multispectral, orthomosaic, DSM, or other deliverables will be defined in the specific service agreement for each project. In the absence of a separate agreement:

  • You receive a limited, non-exclusive, non-transferable license to use the final deliverables for your internal farm management purposes.
  • VX Precision Ag retains all rights to raw data, processing methods, and any derivative works.
  • We may use anonymized or aggregated data to improve our services and algorithms.

You represent that any data or field information you provide does not infringe on third-party rights.

7. Disclaimers

No Warranties: The Site and all information, quotes, and services are provided “as is” and “as available” without warranties of any kind, express or implied.

Service Outcome Disclaimers: We make no guarantees regarding:

  • The results or efficacy of drone spraying, spreading, or lifting applications (including coverage, efficacy against pests/diseases, or yield impact).
  • The accuracy or completeness of multispectral or topographic mapping (accuracy depends on weather, terrain, equipment, flight conditions, and ground control).
  • Variable rate application (VRA) recommendations or outcomes.
  • Carbon sequestration estimates, credit eligibility, or issuance (we assist with compliant data collection and methodologies; final verification and credit issuance depend on independent third-party verifiers and registries).

Regulatory and Safety: Clients and users are solely responsible for obtaining all required permits, following pesticide labels, and complying with all applicable laws before any drone operations on their property.

The Site content is for informational purposes only and does not constitute professional agronomic, engineering, legal, or regulatory advice.

8. Limitation of Liability

To the maximum extent permitted by law, VX Precision Ag, LLC and its owners, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities, arising out of or related to your use of the Site or our services — even if advised of the possibility of such damages.

Our total liability for any claim arising from these Terms or the Site shall not exceed the amount you paid to us in the twelve (12) months preceding the claim (or $100 if no payment was made).

9. Indemnification

You agree to indemnify, defend, and hold harmless VX Precision Ag, LLC and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from:

  • Your use of the Site or services.
  • Your violation of these Terms.
  • Any data, content, or information you submit.
  • Your failure to comply with applicable laws or obtain required permits for drone operations on your property.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Washington, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Site shall be resolved exclusively in the state or federal courts located in Spokane County, Washington. You consent to the personal jurisdiction of those courts.

11. Changes to These Terms

We may update these Terms at any time. The “Last Updated” date indicates the most recent revision. Continued use of the Site after changes constitutes acceptance of the updated Terms. Material changes will be posted prominently on the Site.

12. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and VX Precision Ag regarding the Site. If any provision is found unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right does not waive that right.
